Terms of Service

These Terms of Service ("Terms") govern your access to and use of Cloudtalis Systems Inc. ("Cloudtalis", "we") products, including VoIP subscriptions, eSIM data plans, communication APIs and related services (the "Services"). By creating an account or using the Services, you agree to be bound by these Terms.

1. Accounts

You must provide accurate information when creating an account and keep it up to date. You are responsible for activity that happens under your credentials and for safeguarding your password.

2. Subscriptions and billing

Paid Services are billed in advance on a monthly or yearly basis and are non-refundable except where required by law. You may cancel at any time; cancellation takes effect at the end of the current billing period.

3. Acceptable use

You agree not to use the Services to send spam, originate fraudulent traffic, harass any person, violate export controls, or otherwise break applicable law. We may suspend accounts that pose a risk to our network or to other customers.

4. Telephony and numbering

Phone numbers provided through the Services are licensed, not sold. Service availability for emergency calling may be limited; you are responsible for maintaining an alternative means of contacting emergency services.

5. Service levels

Our published service level commitments apply to eligible paid plans. Credits are the sole remedy for missed service levels.

6. Confidentiality and data

Each party will protect the other's confidential information. Personal data is processed under our Privacy Policy and, where applicable, our Data Processing Addendum.

7. Warranties and liability

The Services are provided "as is". To the maximum extent permitted by law, Cloudtalis disclaims all implied warranties and is not liable for indirect or consequential damages. Our aggregate liability is capped at the fees you paid in the 12 months preceding the claim.

8. Termination

Either party may terminate for material breach that remains uncured after 30 days written notice. We may suspend the Services immediately to protect our network.

9. Changes

We may update these Terms from time to time. Material changes will be announced in-product or by email at least 30 days before they take effect.
